The terms under which Labnize is provided. Where a signed agreement exists with your organisation, that agreement takes precedence over this page.

Acceptance
By creating an account or using Labnize, you agree to these terms. If you are accepting on behalf of an organisation, you confirm that you are authorised to do so and that the organisation is bound by them.
The licence you get
We grant your organisation a limited, non-exclusive, non-transferable right to use Labnize for its own laboratory operations for the duration of the subscription. The software itself is not sold or transferred.
- You may not copy, modify or create derivative works of the platform.
- You may not resell, sublicense or provide the platform as a service to a third party.
- You may not reverse engineer the platform except where law expressly permits it.
- You may not remove or obscure any proprietary notice.
Accounts and responsibilities
An account is tied to a person, and the person behind it is accountable for what it does.
- Keep credentials confidential and do not share an account between people.
- Assign roles so that each user holds only the access their work needs.
- Make sure the data entered is accurate; the platform records what it is told.
- Use the platform in line with the laws and standards that apply to your laboratory.
- Tell us promptly if you suspect an account has been compromised.
Your data stays yours
Your organisation retains all rights to the laboratory data it enters. We claim no ownership of it, and we do not use it to train anything or share it with other customers.
The reporting suite exports to CSV and PDF, and on termination data is returned or deleted according to your agreement.
Availability and maintenance
We work to keep the service available and to make maintenance windows short and predictable, and we announce planned maintenance in advance where we can.
We do not promise uninterrupted or error-free operation, and these terms do not include a service level commitment. Where your organisation needs one, it belongs in a signed agreement.
Fees
Labnize is sold as one plan, quoted per organisation. Fees, billing period and payment terms are set out in the order form agreed with your organisation.
Suspension and termination
Either party may terminate in line with the agreed contract. We may suspend access where an account threatens the security or integrity of the platform, and we will tell you why when we do.
Limitation of liability
To the fullest extent the law allows, Labnize is not liable for indirect, incidental, special or consequential damages, including lost profits, lost data or business interruption, arising from use of or inability to use the platform.
Nothing in these terms limits liability that cannot be limited by law.
Governing law
These terms are governed by the law named in the agreement with your organisation. Where none is named, the law of the place of the Labnize entity contracting with you applies.
